1. Definitions

• "Platform" refers to Serq website, apps, dashboards, and all related services.
• "User" / "You" refers to any individual or business accessing or purchasing Serq.
• "Subscription" means any paid or free plan offered by Serq.
• "Services" means software access, features, integrations, and support provided by Serq.

2. Eligibility

You must:

• Be at least 18 years old
• Be legally capable of entering into a binding contract
• Provide accurate and complete information during registration

Businesses confirm they are authorized to act on behalf of their organization.

3. Account Registration & Responsibility

• You are responsible for maintaining the confidentiality of your login credentials.
• All activities performed through your account are your responsibility.
• You must notify us immediately of unauthorized access.
• Serq reserves the right to suspend or terminate accounts for suspicious or unauthorized usage.

4. Subscription Plans & Payments

4.1 Pricing

• All prices are displayed on the website or shared officially by Serq.
• Prices are exclusive of applicable taxes unless stated otherwise.

4.2 Payment

• Payments are processed via secure third-party gateways.
• Full or partial payments must be made as per the agreed plan.
• Failure to complete payment may result in restricted access.

4.3 Auto-Renewal

• Some plans may auto-renew unless canceled before the renewal date.
• Users are responsible for managing renewals from their dashboard or by contacting support.

5. Refund & Cancellation

• Subscription fees are non-refundable unless explicitly stated in a written agreement.
• No refunds for partial usage, unused time, or change of mind.
• Setup fees, onboarding fees, and customization charges are non-refundable.

6. License & Usage Rights

Serq grants you a limited, non-exclusive, non-transferable license to use the platform during your subscription period.

You may not:

• Copy, resell, sublicense, or redistribute the platform
• Reverse engineer or tamper with the source code
• Use Serq for illegal, fraudulent, or abusive purposes

7. White-Label Usage

For white-label plans:

• Branding rights are limited to visual identity only.
• Core software ownership remains with Querycode Techno Pvt. Ltd.
• You may not claim ownership of the underlying technology.

8. User Content & Data

• You retain ownership of your business data uploaded to the platform.
• You grant Serq permission to process data solely for providing services.
• You are responsible for ensuring your content complies with applicable laws.
• Serq is not responsible for the accuracy or legality of user-generated content.

9. Integrations & Third-Party Services

Serq may integrate with third-party services such as:

• Payment gateways
• SMS / WhatsApp / Email providers
• Cloud and analytics tools

We are not responsible for downtime, errors, or policy changes of third-party services.

10. Service Availability

• We aim for high uptime but do not guarantee uninterrupted service.
• Maintenance, upgrades, or technical issues may cause temporary downtime.
• No liability for business loss due to service interruption.

11. Intellectual Property

All intellectual property including:

• Software
• UI/UX
• Logos
• Content
• Trademarks

are the exclusive property of Querycode Techno Pvt. Ltd.

Unauthorized use is strictly prohibited.

12. Suspension & Termination

Serq reserves the right to suspend or terminate access if:

• Terms are violated
• Illegal or abusive activity is detected
• Payments remain unpaid
• Platform misuse affects system integrity

Termination does not entitle users to refunds.

13. Limitation of Liability

To the maximum extent permitted by law:

• Serq is not liable for indirect, incidental, or consequential damages
• Total liability shall not exceed the amount paid by you in the last billing cycle

Use of the platform is at your own risk.

14. Indemnification

You agree to indemnify and hold Serq harmless against any claims, damages, or losses arising from:

• Your misuse of the platform
• Violation of laws or third-party rights
• Breach of these Terms

15. Governing Law & Jurisdiction

These Terms are governed by the laws of India.

Any disputes shall be subject to the exclusive jurisdiction of courts in Patna, Bihar.

16. Changes to Terms

We may update these Terms from time to time.

Continued use of Serq after updates constitutes acceptance of the revised Terms.
